Effective Date: the date of the Artist's electronic acceptance

This PickArt Indie Agreement (the "Agreement") is entered into as of the date the Artist electronically accepts these terms via the PickArt Platform (the "Effective Date"), by and between:
PickArt Platform Limited ("PickArt"), company number 16883707, incorporated under the laws of England and Wales, with its registered office at Fox Smith, 43 High Street, Marlow, England, SL7 1BA; and
The individual ("Artist") who has registered an account on the PickArt Platform and accepted this Agreement by electronic acceptance as described in clause 8.
PickArt and the Artist are hereinafter referred to individually as a "Party" and collectively as the "Parties".
This Agreement sets out the terms under which PickArt provides its platform service and QR code labels to the Artist under the PickArt Indie.
Artwork: Any physical object qualifying as a work of art under the laws of the jurisdiction where it is located, including but not limited to paintings, sculptures, and photographs, that the Artist lists for sale through the PickArt Platform. Digital-only works or non-physical objects are excluded unless explicitly recognised as artworks under applicable law.
Platform: The digital platform operated by PickArt through which Artworks are listed and buyers can view information about and purchase Artworks via an online interface.
Purchasing: The process by which a buyer completes the purchase of an Artwork listed on the Platform, including payment and confirmation of ownership and delivery details.
QR Code: A unique, scannable Quick Response Code assigned to each Artwork listed on the Platform, displayed alongside the Artwork to allow buyers to access information about the Artwork and complete a purchase.
Buyer: An individual or entity who completes a purchase of an Artwork listed by the Artist on the PickArt Platform.
Display Location: Any physical space designated by the Artist for presenting an Artwork alongside its QR Code, including restaurants, cafés, hotels, coworking spaces, studios, art fairs, or similar venues.
Jurisdiction: The country or territory in which the physical Artwork is located or exhibited at the time of listing.
Payment Processor: Stripe or any other third-party payment service designated by PickArt for processing payments.
Verification Documents: The documents required from the Artist prior to remittance of sale proceeds, as described in clause 4.
1) The Artist shall provide all necessary information about each Artwork to PickArt, including high-quality images that comply with the Guidelines, Artwork details (such as title, dimensions, and medium), price, artist name, and any other details required for the listing.
2) The Artist must ensure that all images and information submitted comply with the quality and content requirements outlined in the Guidelines. If submitted materials do not meet the required standards or necessary information is missing, PickArt reserves the right to request revised materials. The Artist shall provide requested revisions within five (5) days of such a request.
3) The Artist shall choose the Display Location for each Artwork at their discretion and is responsible for ensuring that the QR Code label provided by PickArt is clearly displayed next to or on the Artwork.
4) The Artist guarantees that they have all necessary rights to the Artwork and its intellectual property, including the right to list and sell the Artwork on the Platform. The Artist agrees to provide a Certificate of Authenticity for each Artwork upon request by PickArt or a prospective buyer.
5) The Artist grants PickArt the right to use Artwork images and associated information for listing, marketing, and promotional purposes, including on the Platform and in related materials.
6) The Artist is solely responsible for ensuring that the Artwork's Display Location complies with all applicable laws, regulations, and third-party agreements. PickArt shall not be held liable for any violations.
7) The Artist is responsible for ensuring that each Artwork, its description, and associated images do not infringe any third-party intellectual property rights.
8) The Artist is responsible for handling placement of the Artwork, delivery to the buyer, the transfer of intellectual property rights from the Artist to the buyer, and the provision of any Certificate of Authenticity. The Artist guarantees fulfilment of the agreed delivery terms.
9) The Artist shall bear full responsibility for the successful delivery of Artworks to buyers, including any issues relating to delays, damages, or non-delivery. In the event of a delivery dispute, the Artist shall engage directly with the buyer and provide proof of shipment, tracking information, or other required documentation.
10) The Artist holds full responsibility for any loss, theft, or damage of the Artwork during transportation, handling, or display. The Artist is encouraged to maintain appropriate insurance. PickArt shall not be held liable for any such incidents.
11) The Artist represents and warrants that they are the original author and creator of each Artwork listed, and that they hold full and exclusive rights to use, list, and sell the Artwork on the Platform. The Artist shall provide evidence of authorship upon PickArt's request. Listings of works authored by others or without proper authorship documentation are strictly prohibited.
12) The Artist acknowledges that PickArt Indie is intended solely for the sale of original artworks created by the Artist. Use of this tier for any other purpose is a material breach of this Agreement.
13) PickArt shall list the Artwork details provided by the Artist on the Platform and assign a unique QR Code for each Artwork.
14) PickArt acts as Merchant of Record for all transactions under this Agreement. PickArt collects payment from the buyer and remits the Artist's share in accordance with clause 4, following receipt of the Verification Documents.
15) PickArt reserves the right to remove or suspend any Artwork listing that does not comply with quality standards, lacks necessary information, or is subject to a dispute regarding ownership, authenticity, or intellectual property rights.
16) Upon completion of an Artwork purchase, PickArt shall notify the Artist by email without undue delay. This notification will include the buyer's contact details and relevant order information and will be sent to the Artist's registered email address, which the Artist must keep up to date.
17) PickArt is not responsible for any legal, contractual, or financial matters concerning the Artist's relationship with third parties, such as galleries, hotels, or Display Locations. It is the Artist's responsibility to ensure that their Artworks and Display Locations comply with all relevant laws and contractual obligations.
Each QR Code is uniquely linked to a specific Artwork. The Artist may either:
In both cases, the Artist shall attach the QR Code label visibly next to or on the corresponding Artwork.
When an Artwork is sold, the Artist is encouraged to replace it with a new Artwork and repeat the process. This replacement cycle is considered a regular part of ongoing cooperation under this Agreement.
The Parties acknowledge that, under English law, distance selling regulations may apply to purchases concluded through the Platform, as the contract of sale is completed online by the buyer. The Artist accepts the following obligations in respect of returns and refunds.
18) The Artist is solely responsible for handling any return, refund, or complaint raised by a buyer following a sale, including complaints arising from damage, non-delivery, or misdescription of the Artwork. PickArt shall have no obligation to intervene, mediate, or bear any financial liability in respect of such complaints.
19) Where a buyer exercises any statutory right of cancellation or return under applicable English consumer law, the Artist shall, at the Artist's own expense, accept the return of the Artwork and issue a full refund to the buyer. The Artist shall not be entitled to reclaim any payments, commissions, or processing fees previously deducted by PickArt or the Payment Processor.
20) The Artist shall ensure that all Artworks are accurately described, correctly priced, and in the condition represented at the time of listing. Misdescription constitutes a breach of this Agreement and may result in suspension of the Artist's listings.
21) If PickArt incurs a chargeback or refund fee from the Payment Processor in relation to an Artwork sold by the Artist, the Artist agrees to reimburse PickArt for the full amount within ten (10) business days of written notice. PickArt reserves the right to offset such amounts against any future payments owed to the Artist.
22) The Artist agrees to inform potential buyers, upon enquiry, of the applicable return and refund terms before the buyer completes a purchase.
23) PickArt shall use reasonable efforts to communicate delivery and return terms clearly to buyers on the Platform; however, the ultimate responsibility for fulfilment remains with the Artist at all times.
PickArt Platform Limited acts as Merchant of Record for all Indie transactions. PickArt collects the full purchase price from the buyer at the point of sale. The Artist does not collect payment directly from the buyer.
PickArt's standard commission for its services under this Agreement is five percent (5%) of the total sale price of each Artwork sold through the Platform.
PickArt is contractually obliged to honour any marketing proposition that discounts or waives this commission, in full or in part, for an advertised period. Where the Artist's account is subject to a promotional fee waiver or reduction communicated to the Artist at or before the time of sign-up, PickArt shall apply that promotional rate for the duration of the advertised period. The existence, terms, and duration of any applicable promotional rate shall be recorded by PickArt registration of artist's account.
The Artist acknowledges that the Payment Processor applies its own payment processing fees, which are deducted from the sale proceeds. Such fees are variable and depend on factors including the Artist's jurisdiction, the buyer's payment method, and applicable currency conversions. Applicable Stripe fees are publicly available at https://stripe.com/pricing.
The net amount remitted to the Artist will be the total sale price, less PickArt's applicable commission (as described in clause 4.2), less Payment Processor fees. PickArt shall communicate this clearly on its platform.
Following a sale, PickArt shall hold the Artist's share of the sale proceeds and request the following Verification Documents from the Artist:
PickArt shall remit the Artist's share within a reasonable time following receipt and verification of the Verification Documents. Remittance shall be made by bank transfer to the account details provided by the Artist. PickArt is not liable for failed or delayed remittances resulting from incorrect or incomplete banking details provided by the Artist.
If the Artist fails to provide complete Verification Documents, or if a buyer dispute prevents remittance, and neither the Artist nor the buyer takes steps to claim or contest the funds within two (2) years of the date of sale, the relevant funds shall be forfeited to PickArt. PickArt shall notify the Artist by email to the registered address prior to any forfeiture.
PickArt reserves the right to withhold remittance if there are unresolved disputes regarding delivery, authenticity, or if the Artist is in breach of their obligations under this Agreement.
PickArt Platform Limited is not currently registered for VAT in the United Kingdom. No VAT is charged on transactions under this Agreement whilst PickArt remains below the applicable VAT registration threshold or is otherwise not required to charge VAT. Should PickArt's VAT status change, PickArt will notify Artists and may introduce VAT charges on its commission in accordance with applicable law. Any such change shall not constitute a termination of this Agreement, and the core terms shall remain in force.
Artists who are themselves registered for VAT, or who are required to account for VAT on their own sales, are responsible for their own VAT compliance. PickArt does not advise on or manage Artists' individual VAT obligations. Artists who require VAT functionality, including the ability to display VAT-inclusive pricing and issue VAT receipts, should use other PickArt services.
Under the standard Indie agreement, the maximum listing price for any individual Artwork is EUR 9,999 (or the equivalent in the applicable transaction currency at the time of listing). PickArt reserves the right to reject or remove listings that exceed this ceiling.
Where the Artist is not the sole owner of the Artwork, the Artist is responsible for remitting any applicable share of the sale proceeds to the relevant Artwork owner(s). PickArt is not a party to any such arrangements.
5.1 PickArt is not responsible for any intellectual property rights violations arising from Artwork images or information provided by the Artist.
5.2 The Artist guarantees that all images provided to PickArt are free of any third-party claims and that PickArt has full rights to use them for listing and marketing purposes.
5.3 PickArt shall not be liable for any claims relating to ownership disputes, authenticity challenges, delivery failures, or buyer dissatisfaction. The Artist assumes full responsibility for addressing such matters. PickArt shall not be responsible for any losses (including reputational losses) arising from the Artist's failure to meet their obligations under this Agreement.
5.4 To the fullest extent permitted by law, PickArt's total liability to the Artist under or in connection with this Agreement shall not exceed the total net amounts remitted to the Artist by PickArt in the three (3) months immediately preceding the event giving rise to the claim.
6.1 Either party may terminate this Agreement by providing thirty (30) days' written notice to the other party. Upon the effective date of termination, all of the Artist's Artwork listings shall be removed from the Platform. Any pending transactions initiated prior to the effective date of termination shall be completed in accordance with the terms of this Agreement, including the remittance obligations in clause 4.
6.2 PickArt may terminate or suspend this Agreement with immediate effect if the Artist is in material breach of any provision of this Agreement, including but not limited to listing works they did not create, providing false identity information, or repeated non-fulfilment of buyer orders.
7.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
7.2 Any dispute, controversy, or claim arising out of or relating to this Agreement, including its validity, breach, or termination, shall first be submitted to mediation before either party may commence litigation. The parties shall use reasonable efforts to agree on a mediator within fourteen (14) days of a written request for mediation. If mediation fails to resolve the dispute within thirty (30) days of the mediator's appointment (or such longer period as the parties may agree), either party may bring proceedings in the courts of England and Wales, to whose exclusive jurisdiction the parties hereby submit.
7.3 Neither party shall be liable for any failure or delay in performance under this Agreement to the extent caused by circumstances beyond their reasonable control.
8.1 Each party agrees to maintain the confidentiality of all proprietary and financial information relating to this Agreement, including but not limited to commercial terms, sales data, client identities, QR code mechanics, and platform technologies.
8.2 This confidentiality obligation shall survive the termination of this Agreement.
The Artist enters into this legally binding Agreement by completing the following checkbox on the PickArt Platform:
This electronic acceptance shall have the same legal force and effect as a handwritten signature and shall be deemed equivalent to physical signing for all purposes under applicable law, including the Electronic Communications Act 2000 and the eIDAS Regulation as retained in UK law.
The Artist confirms that they have had access to the full text of this Agreement at https://pickart.com/terms-artist-4 before acceptance. By completing the steps above, the Artist agrees to be bound by the version of this Agreement in force at the time of acceptance, as indicated by the version date displayed on that page.
PickArt reserves the right to update or amend this Agreement from time to time. PickArt will notify the Artist by email in advance of any changes. The updated version will be made available at https://pickart.com/terms-artist-4. The Artist must review and electronically re-accept the updated terms before continuing to use the Platform. If the Artist does not accept the updated terms, PickArt reserves the right to restrict or terminate the Artist's access to the Platform.
This Agreement is deemed executed by the Artist upon their electronic acceptance via the steps described above, and by PickArt through the digital publication of this Agreement on the Platform. No handwritten or scanned signature is required. The Effective Date is the date of the Artist's electronic acceptance.
